The Tax and Compliance Manager is responsible for coordinating the Company’s federal, state, municipal, and international tax filings, payments, and compliance obligations. This role oversees overall tax planning and related regulatory reporting, ensuring timely and accurate submissions in accordance with applicable laws and standards. The Manager, Tax and Compliance provides leadership on emerging tax-related regulatory developments and works cross-functionally to safeguard the Company’s compliance posture.
Key Responsibilities
Tax Compliance & Reporting
- Coordinate and manage the preparation, review, and filing of all federal, state, municipal, and international tax returns.
- Oversee regulatory reporting requirements related to tax and compliance matters.
- Coordinate quarterly and annual tax payments/member distributions and supporting data in conjunction with external tax advisors.
- Oversee state apportionment data calculation for private equity sponsor and tax advisors.
- Lead research and documentation for transfer pricing, R&D tax credits, and other tax incentives.
- Oversee Canadian (CAD) and Mexican tax reporting, including quarterly HST filings, CAD year-end reporting, deemed dividend minimization, and assist with legal entity taxable income forecasting.
Legal & International
- Work with CFO and Controller on international transfer pricing compliance, intercompany management fee structuring and related regulatory reporting.
- Work closely with the General Counsel and CFO on legal entity structuring for financial reporting and tax purposes.
- Ensure timely census and other taxing authority regulatory submissions.
- Monitor evolving tax regulations and assess impact on U.S., Canadian, and Mexican operations.
Tax Planning & Strategy
- Develop and implement tax planning strategies to optimize the Company’s tax position while ensuring compliance.
- Monitor legislative and regulatory changes; assess and communicate potential impacts to leadership.
Governance & Internal Controls
- Establish and maintain Standard Operating Procedures (SOPs) for tax compliance and reporting.
- Ensure strong internal controls over tax processes and adherence to company policies.
- Partner with internal and external auditors as needed.
Collaboration & Advisory
- Partner closely with the CFO, General Counsel, Corporate Controller, SVP of Treasury and Risk Management, and external advisors on tax and compliance matters.
- Provide subject-matter expertise to internal stakeholders on tax implications of business initiatives, transactions, and contracts.
- Serve as primary liaison with taxing authorities and external tax advisors.
Financial Reporting
- Lead tax-related aspects of Certinia (FinancialForce) rollout and ongoing maintenance.
- Work closely with the Controller on Tech payroll capitalization entries and ensure accurate allocation of development costs.
- Partner with external auditors to provide tax-related schedules for interim and year-end audits.
Leadership & Development
- Provide guidance, mentorship, and development opportunities to future staff involved in tax and compliance activities.
- Foster a culture of accountability, accuracy, and continuous improvement.
Qualifications
- Bachelor’s degree in Accounting, Finance, or related field (Master’s in Taxation or CPA preferred).
- 7+ years of progressive tax experience, with exposure to federal, state, and international compliance.
- Strong knowledge of U.S. GAAP, tax regulations, and compliance standards.
- Demonstrated experience in tax planning, reporting, and regulatory compliance.
- Excellent communication, analytical, and leadership skills.
- Ability to collaborate effectively across departments and with external advisors.
